Citigroup vs. shareholders: Toss up

Morgan Stanley's management surprised some by emerging unscathed from its annual meeting. What about Citigroup? Later this month, Vikram Pandit and other executives will face their owners. So far, four big proxy advisers have mixed opinions. According to MarketWatch, Proxy Governance has endorsed the board, while Egan-Jones Proxy Services has recommended opposing audit and C. Michael Armstrong, who already has said he will step down as risk committee chairman. Glass Lewis & Co. opposes nine of the 14 directors, while ISS Governance Services opposes four candidates. This, in itself, is something of a statement. We'll see if any shareholder decides to raise a newsworthy ruckus. Obviously, there is lot here for shareholders to ponder.
