Cegedim Announces the Successful Closing of Its EUR 280,000,000 Term Loan and Revolving Credit Facility

PARIS--(BUSINESS WIRE)-- Regulatory News:

Cegedim SA (the “Company”) is pleased to announce that it has secured a new EUR 280,000,000 5-year syndicated credit facility (the “Facility”). The Facility is split between a EUR 200,000,000 amortizing term loan and EUR 80,000,000 revolving credit facility, and will be used for general corporate purposes including the refinancing of the Company’s existing credit facility agreement dated 3 May 2007 (as amended and restated from time to time). The security package of the existing financing was fully released.

Syndication was launched on April 19th, 2011 for EUR 250,000,000 and closed oversubscribed. The Facility was subsequently increased to EUR 280,000,000 and all banks have been significantly scaled-back.

The Facility was arranged by BNP Paribas, Crédit Lyonnais and Société Générale Corporate & Investment Banking (the “Mandated Lead Arrangers and Bookrunners”):

In syndication, the following banks have joined the transaction: Banc of America Securities Limited and Crédit Industriel et Commercial (the “Mandated Lead Arrangers”), HSBC France, Caisse Régionale de Crédit Agricole Mutuel Centre Loire, BRED Banque Populaire and Banque Palatine (the “Lead Arrangers”).
